1. Acceptance of Terms

By accessing or using the Wyoming Valley Real Estate agent portal, website, or any related services (including Tidio live chat sign-up), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services. These terms apply to all agents, employees, contractors, and authorized users of our platform.

2. Definitions

• "Platform" refers to the Wyoming Valley Real Estate agent portal, website, and any associated applications or services.
• "Agent" refers to any licensed real estate professional authorized to access the agent portal.
• "User" refers to anyone who accesses our website, uses Tidio chat, or interacts with our services.
• "Content" refers to all text, images, listings, documents, and other materials available through the Platform.
• "Tidio" refers to the third-party live chat service integrated into our website for communication purposes.

3. Agent Portal Access

Access to the agent portal is granted exclusively to authorized real estate agents affiliated with Wyoming Valley Real Estate. By creating an account or accepting an invitation, you agree to:

• Provide accurate, current, and complete information during registration and maintain its accuracy.
• Maintain the confidentiality of your login credentials and not share them with any third party.
• Notify us immediately of any unauthorized access or security breach of your account.
• Use the portal solely for legitimate real estate business purposes related to Wyoming Valley Real Estate.
• Comply with all applicable real estate laws, regulations, and professional standards.

4. Tidio Sign-Up and Chat Services

When you sign up or interact with us through Tidio live chat, you agree to the following:

• Information submitted through Tidio, including your name, email, and messages, may be stored and processed to assist with your inquiry or agent onboarding.
• Tidio is a third-party service provider. Your use of Tidio is also subject to Tidio's Terms of Service and Privacy Policy.
• Chat conversations may be monitored, recorded, and reviewed for quality assurance, training, and support purposes.
• You must not use Tidio to transmit unlawful, offensive, fraudulent, or misleading content.
• We reserve the right to terminate chat access for users who violate these terms or engage in abusive behavior.

5. SMS / Text Messaging Program

These SMS terms apply to anyone who opts in to receive text messages from Wyoming Valley Real Estate. Consent to receive SMS messages is given directly to Wyoming Valley Real Estate (the registered brand) and is never sold, rented, or shared with third parties or affiliates for their own marketing or promotional purposes.

Program description: Wyoming Valley Real Estate sends SMS messages related to real estate leads, client communications, showing updates, appointment reminders, transaction updates, and account notifications to agents and clients who have opted in.

How to opt in: You opt in by checking the SMS consent checkbox and submitting your mobile number in the agent portal SMS preferences modal, or by another clearly labeled opt-in flow presented directly by Wyoming Valley Real Estate. Consent is not a condition of employment, account access, or purchasing any goods or services.

Message frequency and rates: Message frequency varies based on your account activity. Message and data rates may apply based on your mobile carrier plan. Wyoming Valley Real Estate does not charge a fee to receive messages.

Opt out and help: Reply STOP to any message from the program to unsubscribe at any time. Reply HELP for assistance, or contact us using the details at the bottom of this page. Supported carriers include AT&T, T-Mobile, Verizon Wireless, Sprint, and other major U.S. carriers. Carriers are not liable for delayed or undelivered messages.

No sharing of mobile information or SMS consent: Mobile phone numbers and SMS opt-in consent collected for this messaging program are not shared, sold, or transferred to third parties or affiliates for their marketing or promotional purposes under any circumstances. Information is shared only with the service providers that directly enable message delivery (for example, our SMS platform Twilio) acting on our behalf under contract, and only as required by law.

Prohibited use: Wyoming Valley Real Estate does not use this messaging program for affiliate marketing, third-party lead generation, or any other messaging category prohibited by U.S. carriers or applicable law. For additional detail on how we handle SMS data, see our Privacy Policy.

6. Acceptable Use

You agree not to use the Platform or Tidio services to:

• Engage in any unlawful, fraudulent, or malicious activity.
• Upload, transmit, or distribute viruses, malware, or any harmful code.
• Interfere with or disrupt the integrity or performance of our services.
• Attempt to gain unauthorized access to any portion of the Platform or related systems.
• Collect or harvest personal information of other users without consent.
• Impersonate any person or entity, or misrepresent your affiliation.
• Post or share content that is defamatory, obscene, threatening, or infringing on intellectual property rights.

7. Intellectual Property

All content, branding, logos, designs, software, and materials on the Platform are the exclusive property of Wyoming Valley Real Estate or its licensors and are protected by copyright, trademark, and other intellectual property laws. Agents are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended business purposes. You may not reproduce, distribute, modify, or create derivative works from any content without our express written permission.

8. Confidentiality

The agent portal may contain confidential business information, client data, proprietary listings, and internal communications. You agree to maintain the confidentiality of all such information and not disclose it to any unauthorized third party. This obligation survives termination of your access to the Platform.

9. Disclaimer of Warranties

The Platform and all related services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not guarantee that the Platform will be uninterrupted, error-free, secure, or free from viruses. Your use of the Platform is at your sole risk.

10. Limitation of Liability

To the fullest extent permitted by law, Wyoming Valley Real Estate and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, Tidio, or any services provided, even if advised of the possibility of such damages. Our total liability shall not exceed the amount you have paid to us for access to the services in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Wyoming Valley Real Estate and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, violation of these Terms, or infringement of any third-party rights.

12. Termination

We reserve the right to suspend or terminate your access to the Platform, in whole or in part, at any time and for any reason, with or without notice. Upon termination, your right to use the Platform immediately ceases, and you must cease all use of the services. Provisions relating to intellectual property, confidentiality, disclaimers, limitations of liability, and indemnification shall survive termination.

13. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the state or federal courts located in Pennsylvania, and you consent to the exclusive jurisdiction of such courts.

14. Changes to These Terms

We may modify these Terms and Conditions at any time. Material changes will be communicated through the Platform or via email. Your continued use of the services after such modifications constitutes acceptance of the updated terms. It is your responsibility to review these terms periodically.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

16. Entire Agreement

These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and Wyoming Valley Real Estate regarding your use of the Platform and supersede all prior agreements, understandings, and communications, whether written or oral.
